Job Description
Job Purpose
The Director of Governance and Compliance at DACO will lead and manage all functions related to governance and compliance, ensuring the organization adheres to regulatory requirements and maintains high standards of corporate governance. This role involves developing and implementing governance frameworks, policies, procedures and delegation of authority, as well as overseeing compliance initiatives and mitigating risks.
3. Position Accountability Description
Strategic Leadership:
1. Develop and implement governance and compliance strategies that align with DACO’s vision, mission, and strategic goals.
2. Manage the coordination of governance and compliance initiatives to ensure alignment with strategic priorities and regulatory requirements.
3. Establish and monitor key performance indicators (KPIs) to measure the effectiveness of governance and compliance operations and drive continuous improvement.
Operational Excellence:
4. Oversee the development of governance and compliance frameworks, policies, and procedures, ensuring their consistent implementation at all levels.
5. Advising board, Committee’s, CEO and management on key matters of regulatory and statutory importance
6. Lead the alignment of internal policies with regulatory requirements and organizational objectives, including revising delegation of authorities and committee’s charters.
7. Implement mechanisms for declaring and recording conflicts of interest, managing conflict resolution strategies, and ensuring transparency.
8. Ensure that all employees are clear and unified in communications regarding whistleblowing and other governance polices such as gift policy, code of conduct policy etc
9. Conduct thorough assessments of non-compliance risks to identify vulnerabilities and develop mitigation strategies.
10. Execute awareness campaigns and training programs to enhance stakeholders' understanding of governance and compliance matters.
11. Prepare comprehensive reports on governance activities and compliance status for review and submission to CEO, ARC and Board if required.
12. Maintain documentation of compliance activities, such as complaints received or investigation outcomes regarding Regulation violations.
Stakeholder Management:
13. Build and maintain strong relationships with internal and external stakeholders, including regulatory authorities and industry partners.
14. Communicate effectively with various departments to ensure the implementation of governance and compliance practices.
15. Coordinate compliance responsibilities with other assurance departments within the organization (e.g., Internal Audit, and General Counsel).
Team Leadership and Development:
16. Provide guidance and mentorship to the governance and compliance team, fostering a culture of excellence, accountability, and continuous improvement.
17. Develop training programs to enhance the skills and knowledge of the governance and compliance team.
18. Set clear performance expectations, provide regular feedback, and support team members to meet their objectives.
Financial Management:
19. Assist in developing and managing the budget for the governance and compliance department, ensuring efficient allocation of resources.
20. Monitor financial performance, identify cost-saving opportunities, and implement measures to achieve financial targets.
21. Prepare budget reports for review by senior management, providing insights and recommendations for financial planning in governance and compliance.
Risk and Compliance Management
22. Ensure compliance with all regulatory requirements and industry standards related to governance and compliance.
23. Develop and implement strategies to mitigate risks associated with governance and compliance.
24. Monitor trends and external factors related to business and airport management that may impact DACO’s profile, providing relevant information to compliance owners and executive management.
25. Maintain ongoing vigilance over compliance-related matters, consistently reviewing and addressing compliance issues, deviations, and potential risks.
Innovation and Continuous Improvement:
26. Drive innovation in governance and compliance practices through the adoption of new technologies and best practices.
27. Continuously assess and improve processes to enhance efficiency and effectiveness.
28. Encourage a culture of continuous improvement, actively seeking feedback and implementing ideas for enhancement.

Education
Business Administration, Public Administration, or a related field.
